Terms of Service

Acceptance of Terms

By accessing Astrum Viva LLC platforms or signing an order form, the customer agrees to these Terms of Service and any referenced schedules. If an executed agreement exists, it governs and these terms supplement that contract.

Services

Astrum Viva provides AI, automation, and SaaS solutions as described in applicable statements of work. Features may evolve, but material reductions will be communicated in advance and coordinated with the customer.

Accounts and Access

Customers are responsible for safeguarding credentials and ensuring only authorized personnel access the services. Astrum Viva may suspend access to protect system integrity if misuse or security threats are detected.

Customer Responsibilities

Customers supply accurate information, maintain necessary licenses, and ensure their data inputs comply with law. They remain accountable for configurations within their control and for notifying Astrum Viva of any unauthorized use.

Data Protection

Each party agrees to handle personal data in line with applicable privacy regulations, including GDPR where relevant. Data processing addenda can be executed upon request to address customer-specific requirements.

Confidentiality

Both parties will protect confidential information using commercially reasonable safeguards and limit disclosure to personnel with a need to know. Obligations remain in effect for three years after termination, except for trade secrets which remain protected while secret.

Intellectual Property

Astrum Viva retains ownership of its software, documentation, and methods. Customers own their data and grant Astrum Viva a limited license to use it solely to provide the services. Feedback may be used to improve offerings without attribution.

Fees and Invoicing

Unless otherwise agreed, invoices are due within thirty (30) days of the invoice date. Late payments may incur interest at the lower of 1.5% per month or the maximum rate permitted by law.

Warranties and Disclaimers

Astrum Viva warrants that it will provide services in a professional manner consistent with industry standards. Except as stated, the services are provided "as is" and Astrum Viva disclaims all other warranties, including implied warranties of merchantability, fitness, or non-infringement.

Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, consequential, or punitive damages, and each party’s total liability is capped at the fees paid or payable under the applicable order during the twelve-month period preceding the claim.

Compliance and Export

Customers represent that they are not barred from receiving US exports and will not use the services in violation of export control or anti-corruption laws. Astrum Viva may terminate service if these representations become inaccurate.

Term and Termination

Terms remain in effect for the subscription period defined in the order. Either party may terminate for material breach if not cured within thirty (30) days after written notice. Upon termination, customer data will be made available for export for a limited period as defined in the agreement.

Governing Law

These terms are governed by the laws of the United States and the applicable state in which Astrum Viva executes the order, without reference to conflict-of-law rules. Each party agrees to the jurisdiction of competent courts in that state.
